Terms of Service

By accessing or using Odomly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you ("User") and Odomly a Star Date Pty Ltd business ACN 633918055 ("we", "us", or "our"), a company registered in Victoria, Australia.

We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Odomly is a vehicle mileage and expense tracking platform designed to assist individuals and fleet operators with trip logging, tax deduction calculations, expense management, and fleet reporting. The Service is provided on a subscription basis and may include features such as GPS trip recording, receipt processing, report generation, and fleet management tools.

You must be at least 18 years of age and have legal capacity to enter into a binding contract to use this Service. By registering, you represent and warrant that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Each account is for use by a single individual. Fleet plans may accommodate multiple users as specified in the applicable subscription tier.

Odomly offers various subscription plans. Fees are charged in advance on a monthly or annual basis as selected at the time of purchase. All prices are in Australian Dollars (AUD) unless otherwise stated and are inclusive or exclusive of GST as indicated at checkout.

Payments are processed by Stripe. By subscribing, you authorise us to charge your nominated payment method for all applicable fees. Subscriptions automatically renew unless cancelled prior to the renewal date.

We reserve the right to change pricing with reasonable notice. Price changes will be communicated at least 14 days before they take effect.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a subscription period, except where required by Australian Consumer Law.

Under the Australian Consumer Law (Competition and Consumer Act 2010 (Cth)), you may be entitled to a refund if the Service fails to meet a consumer guarantee. Nothing in these Terms limits your rights under applicable Australian law.

To ensure a high-quality experience for all users, the following fair use conditions apply:

• You must not use automated scripts, bots, or tools to excessively query or interact with the Service beyond normal usage patterns.
• API usage (where applicable) is subject to rate limits as specified in your subscription plan. Exceeding these limits may result in temporary throttling or suspension.
• Receipt processing, AI-assisted classification, and report generation features are subject to fair use limits per plan. Excessive usage may result in additional charges or feature restrictions.
• Fleet plans are licensed based on seat counts. Using a single account to represent multiple users is prohibited.
• You must not use the Service to store or process data unrelated to vehicle and expense management.
• We reserve the right to suspend accounts that demonstrably abuse platform resources, following reasonable notice where practical.

You agree not to use the Service to:

• Violate any applicable laws or regulations, including the Privacy Act 1988 (Cth) and Victorian privacy legislation.
• Upload or transmit any content that is unlawful, harmful, defamatory, or infringes upon the intellectual property rights of others.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or otherwise attempt to extract source code from the Service.
• Resell or sublicense access to the Service without prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.

Odomly is a record-keeping and reporting tool only. The information, calculations, and reports generated by the Service are provided for convenience and general informational purposes and do not constitute tax advice, financial advice, or legal advice.

Tax deduction rates and rules (including ATO-approved per-kilometre rates) are sourced from publicly available information and may not reflect the most current rulings. You are responsible for verifying all figures with the Australian Taxation Office (ATO) or a registered tax agent before lodging any tax return.

We strongly recommend consulting a registered tax agent or accountant before relying on any data generated by the Service for tax purposes. Odomly is not a registered tax agent and accepts no liability for tax outcomes.

All content, software, features, and functionality of the Service, including but not limited to text, graphics, logos, and code, are the exclusive property of Star Date Pty Ltd or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business or personal purposes in accordance with these Terms. This licence does not include any rights to resell or make commercial use of the Service's content.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

You retain ownership of the data you upload to the Service. By submitting data, you grant us a limited licence to process it solely for the purpose of providing the Service to you. We will not sell your personal data to third parties.

Your data is stored on servers located in Australia or in jurisdictions that provide equivalent privacy protections. We comply with the Australian Privacy Principles under the Privacy Act 1988 (Cth).

While we strive to provide accurate and reliable services, we do not warrant that the Service will be error-free, uninterrupted, or that any calculations, distances, or reports will be accurate. You are responsible for reviewing and verifying all data entered into and generated by the Service.

To the maximum extent permitted by law, Odomly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or in connection with your use of the Service.

Our total aggregate liability to you for any claim arising from or relating to these Terms or the Service shall not exceed the total fees paid by you to Odomly in the 12 months immediately preceding the claim.

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

You agree to indemnify and hold harmless Odomly and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

The Service integrates with third-party services including but not limited to Stripe (payment processing), Google Maps (location services), and Microsoft (email integration). Your use of these integrations is subject to the respective third parties' terms of service and privacy policies. We are not responsible for the actions or omissions of third-party service providers.

We do not guarantee that the Service will be available at all times. We may conduct scheduled or emergency maintenance that results in temporary unavailability. We will endeavour to provide advance notice of planned maintenance where possible.

We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, if we reasonably believe you have breached these Terms or if continued access poses a risk to us, other users, or third parties.

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination, after which we may delete your data in accordance with our data retention policy.

These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria and the federal courts of Australia for any disputes arising from these Terms or your use of the Service.

Before initiating any legal proceedings, you agree to contact us at our support address to attempt to resolve the dispute informally. We will endeavour to resolve disputes within 30 days of receiving written notice.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Odomly regarding the Service and supersede all prior agreements, representations, and understandings.
